Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Cedar Vault website at https://cedarvault.agency/, the web application at https://app.cedarvault.agency/, and related interfaces (collectively, the "Services"). By connecting a wallet or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Nature of the Service

Cedar Vault is a non-custodial DeFi interface on Base that lets you deposit USDC into a smart-contract vault, receive DLPS tokens representing your pool share, and interact with concentrated ETH/USDC liquidity on Uniswap V3. Cedar Vault does not provide investment, legal, tax, or financial advice.

We never hold your private keys, cannot move funds from your wallet without your signed transaction, and are not your broker, agent, advisor, or custodian. You are solely responsible for decisions made with your wallet.

Wallet & Non-Custodial Use

You must use a compatible self-custody wallet (e.g. MetaMask). You are responsible for securing your device, seed phrase, and private keys. Cedar Vault is not liable for unauthorized access to your wallet or losses from user error, phishing, or malware.

Assumption of Risk

DeFi and smart-contract interactions involve substantial risk, including total loss of deposited assets. By using the Services you acknowledge and accept that:

  • Smart contracts may contain bugs or be exploited despite audits.
  • Blockchain transactions are irreversible once confirmed.
  • Token prices, pool fees, and yields are volatile and not guaranteed.
  • Regulatory treatment of digital assets may change and affect your use of the Services.
  • Network congestion, RPC failures, or third-party protocol changes may delay or prevent transactions.
  • Staking locks and burn mechanics may restrict access to principal for a chosen period.

Fees & Protocol Interaction

Cedar Vault routes liquidity through Uniswap V3 and related on-chain protocols. Trading fees, gas, slippage, and protocol-level charges apply as determined by those networks and contracts. Fee distribution within Cedar Vault follows the rules encoded in the deployed smart contracts.

Acceptable Use

You agree not to use the Services to:

  • Violate applicable laws or sanctions requirements.
  • Infringe intellectual property or other rights of third parties.
  • Attempt to disrupt, scrape, reverse engineer, or attack the Services or underlying contracts.
  • Impersonate Cedar Vault or misrepresent your affiliation with us.

Intellectual Property

The Cedar Vault name, branding, website content, and software (excluding open-source components and third-party protocols) are owned by Cedar Vault or its licensors. You receive a limited, non-exclusive license to use the Services for personal purposes. You may not copy, resell, or commercially exploit our materials without written permission.

Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted, secure, or error-free operation, or that outcomes will meet your expectations.

Limitation of Liability

To the maximum extent permitted by law, Cedar Vault and its operators shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, digital assets, or goodwill arising from your use of the Services.

Indemnification

You agree to indemnify and hold harmless Cedar Vault and its affiliates from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

Changes & Termination

We may modify the Services or these Terms at any time. Material changes will be posted on https://cedarvault.agency/. Continued use after changes constitutes acceptance. We may suspend or discontinue access to the Services at our discretion. You may stop using the Services at any time by disconnecting your wallet.

Governing Law & Disputes

These Terms are governed by applicable law without regard to conflict-of-law principles. Any dispute shall be resolved through good-faith negotiation first. If unresolved, disputes may be submitted to binding arbitration or competent courts as permitted by applicable law, except where prohibited.

Miscellaneous

If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms constitute the entire agreement regarding the Services. Communications may be delivered electronically via the website or official channels.
